Resident director support with clear local arrangements.
Newberry welcomes enquiries about appointing a Japanese Singapore permanent resident as a local director. We review your company’s activities and governance arrangements and coordinate with local corporate secretarial partners to outline the applicable terms.
Who this is for
We welcome enquiries from overseas entrepreneurs planning a Singapore company, businesses arranging their locally resident director structure, and existing companies considering a director change. Clients of different nationalities can enquire. Appointments are subject to review and agreement.
Responsibilities and scope
A resident director holds a company directorship with corresponding duties. Before an appointment, we clarify the scope of work, access to company information, communication and reporting arrangements, remuneration, duration, and transition terms.
Singapore companies require at least one locally resident director. Permanent residency is one relevant status, but actual residency and other eligibility requirements must also be considered.
Our process
1. Review your company
We discuss the company’s activities, ownership, directors, purpose, and operating circumstances. The responsible provider will explain the documents required for the review.
2. Clarify the provider arrangements
We identify the provider responsible for corporate secretarial and registration work. Where the role constitutes acting as a nominee director by way of business, the applicable registered Corporate Service Provider arrangement and assessment requirements must be followed.
3. Agree the appointment terms
Director remuneration, additional service fees, reporting arrangements, appointment duration, and exit or replacement arrangements are agreed before proceeding.
4. Establish ongoing communication
We establish information-sharing arrangements with the company and its corporate secretarial provider for the agreed duties and support.

Frequently asked questions
Is a resident director the same as a nominee director?
No. Residency concerns local eligibility; nominee status concerns the relationship with a nominator. The actual role and agreement determine the relevant requirements. All directors retain their applicable duties and responsibilities.
Does this include share ownership?
No shareholding is automatically included in this service. Share ownership and director powers are considered separately.
Can an existing company enquire about a director change?
Yes. We can review the current arrangements, handover requirements, and company circumstances to discuss whether support is available.
What does it cost?
Share your company overview and the role you require. Director remuneration, corporate secretarial fees, registration-related charges, and other support are quoted separately according to the agreed scope.
Discuss your company’s local arrangements.
Tell us about your company, intended timing, and current secretary and director structure. We will review your enquiry and explain the next steps.
